Trading Terms & Conditions
1. Definitions
“Company”, “we”, “us” or “our” means W Beasley t/a Garrolux
“Customer”, “you” or “your” means the person or business placing an order.
“Goods” means garage doors, automation equipment and related products supplied by us.
“Services” means installation and related works carried out by us.
2. Contract Formation
2.1 A contract is formed only when we issue written confirmation of acceptance of your order.
2.2 These Terms and Conditions apply to all quotations, orders, supply and installation contracts and override any other terms unless agreed in writing by a director of the Company.
3. Bespoke and Made-to-Order Products
3.1 Many of our products are manufactured specifically to order and to customer specification.
3.2 Orders for bespoke or custom-manufactured goods cannot be cancelled once production has commenced.
3.3 The Customer acknowledges that colour variations, finishes and minor manufacturing tolerances may occur and do not constitute defects.
4. Prices and Payment
4.1 Prices quoted are valid for 30 days unless otherwise stated.
4.2 Payment terms are as specified on the quotation or invoice.
4.3 We reserve the right to suspend delivery or installation where payment terms are not met.
5. Delivery Times and Delays
5.1 Any delivery or installation dates provided are estimates only and are not guaranteed.
5.2 We shall not be liable for delays caused by:

manufacturers or suppliers
-
transport or logistics disruption
-
shortages of materials
-
industrial action
-
weather conditions
-
events outside our reasonable control
5.3 Delay in delivery or installation shall not entitle the Customer to cancel the contract or withhold payment unless the delay exceeds 12 weeks beyond the estimated delivery date.
6. Force Majeure
6.1 We shall not be liable for failure or delay in performance caused by events beyond our reasonable control including but not limited to:

supplier or manufacturer failure
-
pandemics
-
government restrictions
-
extreme weather
-
fire, flood or accident
-
transport disruption
6.2 In such circumstances our obligations shall be suspended for the duration of the event.
7. Limitation of Liability
7.1 Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
7.2 Subject to clause 7.1, our total liability under any contract shall be limited to the total value of the goods and services supplied under that contract.
8. Exclusion of Consequential and Third-Party Losses
8.1 We shall not be liable for any indirect or consequential losses including but not limited to:

storage costs
-
temporary accommodation costs
-
business interruption
-
loss of profit
-
third-party contractor charges
-
equipment hire
-
site delays
8.2 This applies whether such losses arise from delay, supply issues, installation timing or manufacturer lead times.
9. Customer Responsibilities and Mitigation
9.1 The Customer is responsible for ensuring:
-
clear and safe access to the installation area
-
readiness of the opening and structure
-
availability on agreed installation dates
9.2 The Customer must take reasonable steps to minimise any losses or additional costs arising from delays or changes.
10. Installation Works
10.1 Installation dates are estimates and may be rescheduled due to weather conditions, site readiness or supply chain delays.
10.2 We reserve the right to charge additional costs for aborted visits where access is unavailable or site conditions are unsuitable.
11. Ownership of Goods
11.1 Ownership of goods remains with the Company until full payment has been received.
12. Warranty
12.1 Manufacturer warranties apply to supplied products.
12.2 Our workmanship is warranted for 12 months from installation completion, excluding normal wear and tear or misuse.
13. Governing Law and Jurisdiction
13.1 These Terms and Conditions are governed by the laws of England and Wales.
13.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Amendments
14.1 We reserve the right to amend these Terms and Conditions at any time.
The version in force at the time of order acceptance shall apply.
